Contract for sale

and purchase of Devonshire

Hill Estate and Pipers Court

Memorandum of Agreement made the twenty fifth day of July one thousand nine hundred Between Henry Kerby of Trevor Lodge Surbiton in the County of Surrey Gentleman (hereinafter called the Vendor which expression shall include his heirs executors administrators and assigns) of the one part and The Metropolitan Brick Company and Builders Supply Association Limited whose registered office is situate at No. 4 Lancaster Place in the County of London (hereinafter called the Company which expression shall include their successors and assigns) of the other part

Whereas the Vendor is seized or entitled in fee simple in possession of or to the hereditments hereinafter described but subject to the incumbrances affecting the same hereinafter mentioned

And whereas by an Indenture bearing date twenty sixth day of March one thousand nine hundred between the Vendor of the one part and John Edward Ford of the other part in consideration of the sum of Fifteen thousand pounds paid by the said John Edward Ford to the Vendor the said hereditments and premises were conveyed and assured unto and to the use of the said John Edward Ford his heirs and assigns by way of Mortgage for securing the payment of the sum of Fifteen thousand pounds and interest thereon as therein mentioned

And whereas there is still due and owing under the hereinbefore recited Indenture of Mortgage the sum Fifteen thousand pounds and interest thereon from the twenty sixth day of March one thousand nine hundred after the rate Four per cent per annum

And whereas by a Memorandum of Charge bearing even date of with the hereinbefore recited Indenture of Mortgage and made between the same persons as were parties thereto the Vendor further charged the said hereditments and premises with the payment to the said John Edward Ford of all moneys which the said John Edward Ford should advance to the Vendor on account of buildings to be erected on a portion of the said premises with interest thereon as therein mentioned

And whereas there is now due and owing under the said Memorandum Of Charge the sum of One thousand nine hundred pounds with interest thereon from the several dates on which the several advances making together the said sum One thousand nine hundred pounds were made

And whereas by an Indenture of Lease dated the twenty sixth day of March one thousand nine hundred and made between the Vendor of the one part and the Company of the other part All that piece or parcel of land situate and being on the North side of White Hart Lane Tottenham in the County of Middlesex containing by admeasurement Five acres and one quarter of another acre or thereabouts Together with the brick earth engines sheds workshops and erections thereon being part of the hereditments and premises first hereinafter described and known as the Devonshire Hill Estate was demised by the Vendor to the Company twenty fifth day of March one thousand nine hundred for the term of seven years subject to the payment of the rent thereby reserved and the covenants on the part of the Lessee and conditions therein contained

And whereas the Vendor is also seized or entitled in fee simple in possession of or to the hereditments and premises secondly hereinafter described but subject to the incumbrances affecting the same hereinafter mentioned

And whereas by a Memorandum in writing under the hand of the Vendor the last mentioned hereditments and premises stand charged on favour of the London and Westminster Banking Limited of the sum of One thousand five hundred pounds and interest thereon

And whereas the said sum of one thousand five hundred still remains due and owing but all interest thereon has been paid upto the date of these presents

And whereas the Vendor has been engaged for some time past in developing the hereditments and premises first hereinafter described and known as the Devonshire Hill Estate or some part thereof by erecting dwelling houses thereon and otherwise improving the same and is still proceeding with such development and improvements

And whereas the Vendor has agreed with the Company to sell to the Company the whole of the hereditments and premises hereinbefore referred to subject to the several incumbrances affecting the same respectively and as to part of the said hereditments and premises first herein after described Subject to the said Indenture of Lease and subject also to but with the benefit of all unexecuted Contracts or engagements entered into by the Vendor prior to the ate of this Contract in or about or in anywise relating to the development of the hereditments or premises first hereinafter described or the improvements above mentioned

Now it hereby agreed declared by and between between the said parties hereto as follows

The Vendor agrees to sell and the Company agrees to purchase 

First All that piece or parcel of land situate at Devonshire Hill formerly Clay Hill Tottenham in the County of Middlesex containing by admeasurement Thirty four acres and one rood or thereabouts Together with the messuages and buildings erected thereon which said hereditments and premises are more as the Devonshire Hill Estate and are more particularly delineated and described in the plan annexed hereto and are thereon colored pink at the price or sum of two thousand five hundred pounds

And Secondly All that piece or parcel of land called or known as Pipers Court on the South side of White Hart Lane in the Parish of Tottenham aforesaid Together with the messuages and buildings erected thereon which said hereditments and premises are more particularly delineated and described in the said plan and are therein colored Green at the price or sum of Five hundred pounds

And Thirdly All the interest of the Vendor in or under the several Contracts and engagements entered into and made by the Vendor prior to the date of this Contract in or about or on anywise relating to the development of or improvements in connection with the Devonshire Hill Estate aforesaid and remaining unexecuted or uncompleted at the date of this Contract at the price or sum of Three thousand and two pounds eighteen shillings and nine pence the said sums of Two thousand five hundred pounds and Three thousand and two pounds eighteen shillings and nine pence making together the sum of Six thousand and two pounds eighteen shillings and two pence

The said sum of Six thousand and two pounds eighteen shillings and two pence shall become payable immediately on the signing of this Contract and shall bear interest from that date at the rate of Five pounds per cent per annum until payment

On or after the payment of the said sum of Six thousand and two pounds eighteen shillings and two pence and the interest (if any) thereon the Vendor will at the cost of the Company and if and when required by them so to do convey and assure the hereditments and premises first and secondly hereinbefore described (but subject as aforesaid) to the Company or as they shall direct and will at the like cost and request execute all such assignments transfers and other documents as may be necessary to vest in the Company the interest of the Vendor in the several Contracts and engagements thirdly hereinbefore referred to end the benefit of the several contracts hereinafter referred to and after the signing of this Contract and until such Conveyances assurances transfers and assignments as aforesaid shall have been duly executed the Vendor will for and on behalf of the company and in accordance with all respects with their directions and to the best of his ability continue the development and improvement of the Devonshire Hill Estate and may enter into such Contracts and engagements as may be proper and reasonably for such development and improvement as if he were the beneficial owner of the said Estate

 

The Company shall accept the Vendors title and shall be deemed to have purchased subject to all easements (if any) affecting the premises

The Company shall indemnify the Vendor against all claims whether in respect of principal or interest under the several incumbrances hereinbefore mentioned affecting the said hereditments and premises respectively and against all claims and demands anywise relating to outgoings payable in respect of the said hereditments and premises or any Contracts Guarantees or engagements already entered or hereafter properly to be entered into by the Vendor in connection with the development of the Devonshire Hill Estate or for the benefit thereof
