This Indenture made the Seventh day of October One thousand nine hundred and three Between John Edward Ford of No. 1 Westbourne Gardens Porchester Square in the County of Middlesex Gentleman of the first part Henry Kerby of No. Lancaster Place Strand in the County of London Gentleman of the second part The Metropolitan Brick Company and Builders Supply Association Limited whose registered office is at No. 1 Lancaster Place aforesaid (hereinafter called "the Company") of the third part and The London and Westminster Bank Limited whose registered office is situate at No. 41 Lothbury in the City of London (hereinafter called "the Bank") of the fourth part

Whereas by an Indenture dated the twenty sixth day of March One thousand nine hundred and made between the said Henry Kerby of the one part and the said John Edward Ford of the other part in consideration of the sum of Fifteen thousand pounds paid by the said John Edward Ford to the said Henry Kerby the said Henry Kerby covenanted with the said John Edward Ford to pay to him on the twenty ninth day of September then next the sum of Fifteen thousand pounds with interest thereon in the meantime after the rate of Four per cent per annum computed from the date of the Indenture now in recital and also so long any money remained due thereunder interest half yearly on the twenty fifth of March and twenty ninth of September And by the same Indenture the said Henry Kerby conveyed All that piece or parcel of land situate at Devonshire Hill (formerly Clayhill) Tottenham in the County of Middlesex containing by admeasurement Thirty four acres one rood or thereabouts Together with the messuages premises and buildings erected thereon which said piece or parcel of land was more particularly delineated and described on the plan drawn on the second skin of an Indenture of Conveyance of even date therewith and made between the said John Edward Ford of the one part and the said Henry Kerby of the other part and thereon coloured pink unto and to the use of the said John Edward Ford in fee simple subject to a proviso for redemption of the said hereditments on payment by the said Henry Kerby to the said John Edward Ford of the principal sum of Fifteen thousand pounds and interest as therein mentioned

And whereas by an agreement dated the twenty fifth day of July One thousand nine hundred and made between the said Henry Kerby of the one part and the Company of the other part it was (inter alia) agreed that the said Henry Kerby should sell and the Company should purchase the said hereditments and premises but no conveyance of the same has ever been executed

And whereas the sum of Twelve thousand five hundred pounds only remains due and owing to the said John Edward Ford on the security of the said Indenture of the twenty sixth day of March One thousand nine hundred but all interest for the same has been duly paid up to the date of these presents (as the said John Edward Ford doth hereby acknowledge)

And whereas the Bank has agreed at the request of the said Henry Kerby to pay to the said John Edward Ford the sum of Twelve thousand five hundred pounds as upon having such transfer as is hereinafter contained as the said mortgage debt of Twelve thousand five hundred pounds and interest and the securities for the same and the Company has agreed to join in these presents in manner hereinafter appearing

Now this Indenture witnesseth that in pursuance of the said agreement and in consideration for the sum of Twelve thousand five hundred pounds now paid to the said John Edward Ford by the Bank at the request of the said Henry Kerby (the receipt whereof is hereby acknowledged) The said John Edward Ford as mortgagee at the request of the said Henry Kerby doth hereby assign unto the bank

All that the said principal sum of Twelve thousand five hundred pounds so owing to the said John Edward Ford upon the security of the said Indenture of mortgage as hereinbefore mentioned and all interest henceforth to become due for the same and the benefit of the power of Sale and all other powers remedies and securities contained in or given by the said Indenture of mortgage for securing or recovering the said principal sum and interest

To hold the same unto the Bank

And this Indenture also Witnesseth that in further pursuance of the said agreement and for the consideration aforesaid The said Henry Kerby covenants with the Bank to pay to the Bank on the twenty fifth day of March next the sun of twelve thousand five hundred pounds with interest thereon in the meantime at the rate of Five pounds per cent per annum from the date of these presents And further if the said moneys shall not be so paid to pay to the Bank interest at the rate aforesaid by equal half yearly payments on the twenty fifth day of March and the twenty ninth day of September in every year on the Principal moneys for the time being remaining due on this security

And this Indenture also Witnesseth that in further pursuance of the said agreement and for the consideration aforesaid The said John Edward Ford as Mortgagee at the request of the said Henry Kerby and with the consent hereby testified of the Company Doth hereby grant and the said Henry Kerby as beneficial Owner Doth grant hereby grant and confirm And the Company as beneficial Owner Doth hereby also grant and confirm unto the Bank

All and singular the freehold hereditments and premises granted or assured by the hereinbefore recited Indenture of Mortgage of the twenty sixth day of March One thousand nine hundred save and except such part or parts thereof as have been conveyed and released to the said Henry Kerby by the Indentures particulars whereof are specified in the Schedule hereto and also by way of conveyance and not of exception all the hereditments which are now by any means vested in the said John Edward Ford subject to redemption by virtue of the said Indenture of Mortgagor were charged in his favour by a memorandum of even date therewith

To hold the same unto and To the use of the Bank their successors and assigns in fee simple free from all right or equity of redemption under or by virtue of of the said Indenture of Mortgage and the said memorandum but subject to the proviso for redemption hereinafter contained

Provided always And it is hereby agreed that if the said Henry Kerby his heirs executors administrators or assigns shall on the twenty fifth day of March next pay to the Bank their successors or assigns the sum of Twelve thousand five hundred pounds with interest thereon in the meantime at the rate aforesaid the Bank shall at any time thereafter upon the request and at the cost of the said Henry Kerby his heirs executors administrator or assigns reconvey the hereditments hereby granted to the use of the said Henry Kerby his heirs or assigns

And the said Henry Kerby hereby covenants with the Bank that he the said Henry Kerby his heirs executors administrators or assigns will during the continuance of the present security keep the said messuages buildings and premises comprised in or subject to this security and all messuages buildings or property which may from time to time be so comprised or in good and substantial repair and also insured against loss or damage by fire in the sum of..............at the least in the....................Insurance Company or in some other insurance Office of repute to be approved of in writing from time to time by the Bank their successors or assigns and will duly and punctually pay all moneys and premiums for effecting and keeping up the said insurance when the same shall become due or within one week thereafter and will on demand produce to the Bank their successors or assigns the policy or policies of such insurance and the receipt for every such payment And that if in default shall at any time be made by the said Henry Kerby his executors administrators or assigns in effecting or keeping up such insurance as aforesaid or in keeping the said premises or any part thereof in good and substantial repair or in producing any such policy or receipt to the Bank their successors or assigns on demand it shall be lawful but not obligatory on the Bank their successors or assigns to insure and keep insured the said premises or any part thereof in any sum not exceeding........................or to repair and keep in repair the same And and that all moneys expended by them for either of such purposes together with interest thereon at the rate of Five pounds per cent per annum from the time of the same having been expended shall on demand be paid to them by the said Henry Kerby his heirs executors administrators or assigns and until such repayment shall be a charge upon all the said premises hereby mortgaged

Provided always that nothing herein contained shall affect or prevent the exercise by the Bank of the power of Sale contained in or incident to the said Indenture of Mortgage of the Twenty sixth day of March One thousand nine hundred

And the said Henry Kerby for himself and his assigns and also the Company hereby covenant with the Bank that during the continuance of this security no person or persons or Corporation shall be registered as proprietor or proprietors of the hereditments hereby mortgaged or any part thereof without the consent in writing of the Bank

Provided always And it is hereby agreed that the Bank their successors or assigns or any of them shall not be answerable any involuntary losses which may happen in or about the exercise or execution of the power of Sale or any of the powers or trusts which may be vested in them by virtue of these presents or any Statutes

In witness whereof the parties hereto of the first and second parts have hereunto set their hands and seals and "the Company" and "the Bank" have caused their respective Common Seals to be hereunto affixed the day and year first above written

The Schedule above referred to

26th July 1900 Indenture of this date made between the said John Edward Ford of the one part and the said Henry Kerby of the other part whereby the landcoloured pink and blue in the plan drawn in the fold thereof with the nine messuages or dwelling houses erected thereon was conveyed to the said Henry Kerby

6th June 1901 Indenture of this date between the same parties whereby the land coloured pink and blue on the plan thereon with the six messuages or dwelling houses erected and built thereon was conveyed to the said Henry Kerby

29th April 1903 Indenture of this date made between the same parties whereby theland coloured pink and blue in the plan thereon together with the messuages or dwelling houses built thereon was conveyed to the said Henry Kerby
